SHASHI CONSULTANCY

1. INTRODUCTION

By engaging Shashi Consultancy ("we", "us", "our") through any channel — WhatsApp, email, or our website — you ("Client") confirm that you have read and agree to these Terms and Conditions. These terms govern all services provided by Shashi Consultancy.

2. SERVICES OFFERED

Shashi Consultancy provides the following services:

• Static Website Development (HTML, CSS, JavaScript, Tailwind CSS)
• Logo Design & Brand Identity
• Pamphlet, Flyer & Banner Design
• Menu Card & Restaurant Material Design
• Visiting Cards, Business Cards, ID Cards
• Social Media Post, Cover & Promotional Designs
• Brochures, Posters & Certificate Designs
• Domain & Hosting Assistance (charges paid by Client)
• Basic SEO, Speed Optimization & Website Maintenance (charged separately)

NOTE: All websites are static websites built with HTML, CSS, JavaScript, and Tailwind CSS. Dynamic features — login systems, admin panels, e-commerce, database integration — are NOT included unless separately agreed in writing.

3. STANDARD SERVICE MODEL

• Projects enter development directly based on Client-provided references, requirements, and content.
• No separate UI mock-up, wireframe, or design approval stage is included in standard packages.
• Premium analysis, wireframing, and UI mock-up approval is available as a paid add-on service.
• Clients are advised to share clear references (websites they like, colour preferences, layout ideas) at the time of project initiation to ensure accurate delivery.

4. PROJECT INITIATION

• Work begins only after 30% advance payment is received.
• Client must provide all required content — text, images, logo, references — before work starts.
• Delay in content submission by the Client will directly delay delivery. Such delays are not our responsibility.
• Incomplete or unclear briefs may result in deliverables that require more revisions.

5. DELIVERY TIMELINE

• Standard delivery: 15 working days from date of advance payment AND receipt of all content.
• Working days exclude Sundays and national public holidays.
• Complex or large projects may require additional time, communicated upfront.
• Timeline starts only when both advance payment and complete content are received.

6. REVISION POLICY

• Every project includes 2 (two) free revisions.
• Revision requests must be submitted within 5 days of delivery.
• Additional revisions beyond 2 are chargeable based on complexity and scope.
• A complete redesign or addition of new features does not qualify as a revision — it is treated as a new project.

7. PAYMENT TERMS

• 30% advance payment is required before work begins.
• Remaining 70% must be paid before final files or website handover.
• Accepted payment: UPI, Bank Transfer, PhonePe, GPay, Paytm.
• Final deliverables are released ONLY after full payment is received — no exceptions.
• Invoices must be settled within 3 days of delivery unless otherwise agreed.

8. INTELLECTUAL PROPERTY & OWNERSHIP

• All website files, source code, designs, and related project assets shall remain the property of the Developer until full payment has been received.
• Upon receipt of full payment, ownership of the final website and agreed deliverables shall transfer to the Client, unless otherwise agreed in writing.
• The Developer reserves the right to showcase the completed website in their portfolio, resume, website, social media, or other promotional materials. No confidential information, passwords, or sensitive business data will be disclosed. If the Client does not wish the project to be displayed, they must notify the Developer in writing before project completion.
• The Client confirms that they own or have the legal right to use all images, text, logos, trademarks, and other content provided for this project.
• The Developer shall not be held responsible for any copyright, trademark, licensing, or other legal issues arising from content provided by the Client.

9. FORCE MAJEURE

The Developer shall not be held responsible for delays or failure to perform the project due to events beyond reasonable control, including but not limited to natural disasters, internet outages, power failures, government restrictions, or other unforeseen circumstances.

10. DISPUTE RESOLUTION

• Both the Developer and the Client agree to make every reasonable effort to resolve any dispute through mutual discussion before taking any legal action.
• If the dispute remains unresolved, it shall be subject to the jurisdiction of the competent courts located in Rohtas, Bihar, India.

11. PORTFOLIO RIGHTS

• The Developer reserves the right to display the completed website in their professional portfolio, resume, social media, or for demonstration purposes.
• No confidential business information, passwords, or sensitive Client data will ever be shared without the Client's permission.
• If the Client does not want the project to be displayed publicly, they must inform the Developer in writing before the project is completed.

12. AFTER FINAL HANDOVER

Once final files are delivered and full payment is received, this project agreement is considered complete.

• Any future work — adding new pages, features, buttons, sections, or design changes — is treated as a new project with separate charges.
• No free support or modifications are provided after handover under the original project agreement.
• Ongoing maintenance is available under our separate Maintenance & Support plan.

NOTE: The completion of this agreement does not entitle the Client to any future work at no charge. Each new task or feature is a new engagement.

13. MAINTENANCE & SUPPORT

• Post-delivery maintenance — content updates, image replacement, new pages, security — is available as a paid service.
• Monthly and annual maintenance plans are offered. Rates are as per our current rate chart.
• Maintenance requests are processed within agreed timelines under a separate maintenance agreement.
• Free Support: The Developer will provide 7 Days of free support after project delivery. Further maintenance or updates will be charged separately.

14. Client RESPONSIBILITIES

• Provide accurate, complete, and timely information for the project.
• Ensure all content provided is legal and free from third-party copyright restrictions.
• Respond to queries and proofs within a reasonable time to avoid project delays.
• Domain and hosting charges are always paid directly by the Client.
• Client is responsible for renewing their own domain and hosting plans.

15. LIMITATION OF LIABILITY

Shashi Consultancy shall not be held liable for any indirect, incidental, or consequential damages. Our maximum liability shall not exceed the total amount paid by the Client for the specific project in question.

16. GOVERNING LAW

These Terms are governed by the laws of India. Any unresolved disputes shall be subject to the jurisdiction of the appropriate courts in Bihar, India.

17. TECHNICAL STANDARDS

• The website will be tested on the latest versions of Google Chrome, Microsoft Edge, Mozilla Firefox, and mobile browsers.
• Compatibility with outdated or unsupported browsers (such as Internet Explorer) is not guaranteed.
• Minor visual differences may occur across different devices, screen sizes, or browsers.
